TORLYS CORKWOOD PAYS TO KNOW PROMO (“Contest”)
Official Contest Rules and Regulations (“Contest Rules”)

ELIGIBILITY:

Entrants must have Internet access and a valid email address to participate in the Contest. An entrant must be a resident of Canada who has reached the age of majority in his/her province of residence when they enter. Employees of TORLYS, or a member of the immediate family (spouses, parents, grandparents, children and siblings and their respective spouses) of, or domiciled with, an employee of TORLYS, its subsidiaries, parent or affiliated companies, their respective advertising or promotional agencies, or the independent contest organization are not eligible. Proof of identification and age must be provided upon request. Void where prohibited.

CONTEST PERIOD:
The Contest Period begins March 25th (“Contest Starting Date”) and ends on May 19th, 2019 (“Contest End Date”)

HOW TO ENTER:
During the Contest Period, entrants can visit www.torlys.com/PaysToKnow to register and participate in the Contest online survey. Each entrant must complete the online entry form and indicating his/her agreement to the Official Rules and Privacy Policy. An eligible entrant will automatically earn one (1) entry (each, an “Entry”) when a retail purchase of TORLYS CorkWood floor, coordinating accessories, moulding products, and related installation charges from a participating TORLYS dealer is deemed qualified; purchase must be invoiced between March 25th (“Contest Starting Date”) and May 19th, 2019 (“Contest End Date”) from participating retailers in Canada only. Limit one (1) entry per person, per household, during the Contest Period. Contest promotion is applicable on retail consumer-based sales only that are paid in full. Discontinued/Overstock products, Builder, Contractor and Commercial project purchases are excluded. Maximum retail value of contest prize is up to CAD $5,000 towards the total purchase of TORLYS CorkWood floor from a participating TORLYS dealer; Sales taxes are not included in the value of contest prize. Contest entries must be submitted by midnight on May 22nd, 2019 (“Contest Closing Date”) and completed by the person who purchased the floor.

NO PURCHASE NECESSARY: To participate in this Contest you must contain all of the following elements (together, an “Entry”): (i) attaches a photo of you in front of a participating TORLYS dealer, which features messaging about this contest and the ‘Do you know your CorkWood?’ Dealer Card (the “Contest Photo”) and which complies with the Photo Entry Specifications (as defined below);

Your Contest Photo must comply with the following specifications (the “Photo Entry Specifications”): a. be your original creation, and be a photograph taken solely by you. Reproducing, modifying, enhancing or altering a third party's pre-existing work does not qualify as your original creation; b. not violate the rights of any third party, including, but not limited to copyright. For example, your Contest Photo must not defame, infringe or violate publicity or privacy rights of any person, living or deceased, or otherwise infringe upon any person's, entity's or organization's personal or proprietary rights, including but not limited to, intellectual property rights. For greater certainty, your Contest Photo must not contain trademarks, logos, or trade dress owned by anyone other than the Sponsor, or advertise or promote any brand or product of any kind, without express, written, prior permission of the trademark or brand owner; c. not have been published previously, used commercially, submitted to another competition or contest, or won any other award; d. be in “good taste” and in keeping with the Sponsor’s brand image and must not be explicit, offensive, obscene, or profane, and must not be derogatory toward any ethnicity, race, gender, sexual orientation, religion, profession, or age group, or promote any activities that may be unsafe or dangerous, as determined by the Sponsor, in its sole and absolute discretion; e. not contain any commercial content that promotes any product or service; f. not defame, misrepresent or contain disparaging remarks about Sponsor or its products; g. not be false, inaccurate or misleading; h. not violate any law or regulation; i. not be libelous, threatening or harassing; j. not instigate others to commit illegal activities or violate human rights; and k. not contain any viruses, worms, or other interfering computer programming.

PRIZE DRAW: A random draw for the Contest Prize will be held on May 29th (EST) in Waterloo, ON by an independent contest organization from among all eligible entries received by the Contest Closing Date. Three (3) attempts will be made to contact the selected entrant at the email address provided on their Entry Form between 9:00 a.m. and 5:00 p.m. (ET) during a period of seven (7) days. If the selected entrant cannot be contacted within seven (7) days, he/she will be considered to have forfeited the prize and will be disqualified and another entrant will be randomly selected from the remaining eligible entries until such time as contact is made with a selected entrant or there are not more eligible entries, whichever comes first. The Sponsor will not be responsible for failed attempts to contact a selected entrant. The odds of winning the Contest Prize is solely dependent on the number of entries received before the contest closing date. Before being declared a winner of the Contest, the potential winner will be required to first correctly answer a mathematical skill-testing question to be administered by phone or email, and to sign a Declaration and Release form.

DECLARATION AND RELEASES:
The winner will be required to sign a Declaration of Compliance with the Contest Rules and a Publicity/Liability Release, confirming compliance with the contest rules, acceptance of the prize as awarded, releasing the Sponsor, its affiliates, subsidiaries, parent and related companies, advertising and promotional agencies, the independent contest organization and all of their respective directors, officers, owners, partners, employees, participating retailers, agents, servants, representatives, successors and assigns (collectively, the “Releasees”) from any actions, cause of action, suits, debts, claims, demands and liability whatsoever in connection with this Contest or the acceptance and/or use of any prize, including, without limitation, claims based on negligence, breach of contract and fundamental breach and liability for physical injury, death or property damaged which any entrant, his/her administrators, heirs, successors or assigns has or might have by reasons of, or arising out of, the entrant's participation in this Contest and/or in connection with the acceptance and/or use of a prize. Declaration and Release documents must be returned within ten (10) business days of the date of the notification. If the requisite documents are not returned within this 10-day period, then the prize may be forfeited at the discretion of the Sponsor. Only when all the documents have been completed by a potential winner and verified by the Sponsor will a potential winner be officially declared a winner and receive a prize. By entering the Contest and accepting a prize or incentive, the winner consents to the use of his/her name, address, voice, statement and photograph or other likeness, without further compensation, in any publicity or advertisement carried out by or on behalf of the Sponsor in any manner whatsoever including print, broadcast or via the Internet.

GENERAL:
By entering the Contest, each entrant agrees to abide by the Contest Rules and the decisions of the independent contest organization, which shall be final and binding, without right of appeal, in respect to all matters related to this Contest, including, without limitation as to eligibility and/or disqualification of entries. In the event it is determined that an entrant has entered in a manner that is not sanctioned by these Contest Rules, and/or has submitted more than the number of entries permitted by these Contest Rules, or has otherwise not complied with these Contest Rules, such entrant shall be disqualified. The Sponsor assumes no responsibility for incomplete, illegible, damaged, destroyed, lost, stolen, falsified, late, or misdirected or, insufficient postage entries or requests for entries, all of which shall be treated as void. Furthermore, the Sponsor shall not be responsible for problems, errors or negligence that may arise or occur in connection with the Contest, including, without limitation, inaccurate, or incomplete capture of entry information or any failure of the website during the promotional period, including, without limitation, as a consequence of any problems or technical malfunction of any kind including, without limitation, in respect to computer equipment, hardware, software, human or technical errors, printing errors, lost, deleted, failed, incomplete or garbled date, communications or transmission interruptions, deletions, defects or failure of any telephone or computer lines or networks, computer online systems, servers, access providers, computer equipment, software, failure of any e-mail or entry to be received by the Sponsor on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof, including, without limitation, any injury or damage to an entrant’s or any other person’s computer related to or resulting from playing or downloading any material in the promotion, or errors in advertising, the selection and announcement of winners and/or the awarding of any of the prizes.

The Sponsor reserves the right, in its sole discretion, to cancel or suspend this Contest should a virus, bug or other cause, beyond the reasonable control of the Sponsor, corrupt the security or proper administration of the Contest. Any attempt to deliberately damage any website or to undermine the legitimate operation of this promotion is a violation of criminal and civil laws, and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution. Entries are subject to verification and will be declared invalid if they are illegible, irregular, mechanically reproduced, mutilated, forged, falsified, altered or tampered with in any way or that have been submitted through illicit means or do not conform with or satisfy any or all conditions of these Contest Rules.

In the event of a dispute as to the identity of a winner based on an email address, the winning entry will be deemed to be made by the authorized account holder of the email address at the time of entry. Authorized account holder is the natural person who was assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain name associated with the submitted email address.

All entries become the property of the Sponsor and none will be returned. No communication will be entered into except with a potential winner.

The Sponsor reserves the right, subject to the approval of the Régie des alcools, des courses et des jeux du Québec, to terminate this Contest or to amend these Contest Rules at any time without notice, in its sole discretion, if any factor interferes with the proper conduct of the Contest as contemplated by these Contest Rules. The Sponsor reserves the right to make substitutions for all or any component of any prize. This Contest is subject to all applicable federal, provincial and municipal laws and regulations. By entering the Contest, all entrants consent to the collection, use and distribution of their personal information by the Sponsor for the purpose of running this Contest. FOR QUEBEC RESIDENTS:
Any litigation respecting the conduct or the organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Régie des alcools, des courses et des jeux only for the purpose of helping the parties reach a settlement.
